Vancouver Laptop Business Membership Terms and Conditions
Effective Date: July 2, 2023
These Business Membership Terms and Conditions (“Agreement”) constitute a legally binding contract between your business (“Customer” or “You”) and Vancouver Laptop (“Company” or “We” or “Us”). By registering for the Business Membership Plan and utilizing our services, you agree to be bound by the terms and conditions set forth in this Agreement.
Services:
- You may utilize certain services provided by Vancouver Laptop under the Business Membership Plan (“Plan”) during the Term of your membership, subject to these Terms and Conditions. The current services offering is detailed on the Vancouver Laptop website at www.vancouverlaptop.com/business-membership and is subject to change without prior notice, except where prohibited by applicable law.
- The specific services included in the Business Membership Plan are designed to meet the unique technology needs of your business.
Plan Purchase Price:
- The purchase price of the Business Membership Plan (“Plan Purchase Price”) is determined based on the selected subscription term and the services included in the Plan. The Plan Purchase Price is payable in advance and may be subject to applicable taxes.
- Payment details and instructions will be provided to you upon registration for the Business Membership Plan. By registering, you authorize Vancouver Laptop to charge the designated payment method for the Plan Purchase Price and any applicable fees or charges.
Plan Duration:
- The Term of the Business Membership Plan begins on the registration date and continues until the Plan is canceled by either party.
- To cancel the Business Membership Plan, written notice must be provided to the Company at least thirty (30) days before the desired cancellation date. If you cancel within the first 30 days of your membership, the Plan will be canceled, but no refund will be provided.
- If you cancel after 30 days, you will be charged for the full year and the Plan will be canceled after the completion of the current subscription term.
- Following the cancellation of the Business Membership Plan, you will have no further rights to the services included in the Plan, and the Company will have no further liabilities or obligations to you.
Changes and Modifications:
- Vancouver Laptop reserves the right to modify these Terms and Conditions, the pricing of the Business Membership Plan, and/or the service fees for services under the Plan from time to time. Any such changes will be communicated to you in writing or through the Vancouver Laptop website at least thirty (30) days before the changes take effect, except where prohibited by applicable law.
- Within thirty (30) days of receiving notice of any changes, you may choose to cancel the Business Membership Plan without penalty, provided that you have not utilized any remote support services during that period. If you cancel within this period but have used the remote support services, no refund will be provided for the remaining subscription term.
Customized Solutions and Additional Services:
- In addition to the services included in the Business Membership Plan, Vancouver Laptop offers customized solutions tailored to the specific technology needs of your business. These customized solutions may include but are not limited to:
- IT infrastructure optimization
- Data security audits
- Software development and integration
- Network security assessments
- Cloud migration and management
- Business continuity planning
- And other technology-related services as mutually agreed upon
Termination:
- The Company reserves the right to terminate this Agreement and cancel the Business Membership Plan in the following circumstances:
- Non-Payment: If you fail to make the required payments according to the agreed-upon terms and conditions.
- Breach of Terms: If you breach any material terms or obligations outlined in this Agreement.
- Misconduct: If you engage in any form of misconduct or inappropriate behavior towards the Company’s employees, contractors, or other customers.
- Illegal Activities: If you are found to be involved in illegal activities or misuse the services provided by the Company for unlawful purposes.
- Technical Limitations: If the Company determines that it is unable to provide the services due to technical limitations or other constraints beyond its control.
Limitation of Liability:
- Vancouver Laptop endeavors to provide exceptional remote support services to its valued business customers. While we make every effort to ensure professionalism and care in delivering our services, there are certain limitations to our liability.
- The Company shall not be held accountable for any unforeseen circumstances, technical glitches, or events beyond our reasonable control that may occur during the provision of our services. We acknowledge that technology can be complex and unpredictable, and despite our best efforts, occasional issues may arise.
- In no event shall Vancouver Laptop be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, data, or other intangible losses, even if the Company has been advised of the possibility of such damages.
- The Company shall not be responsible for any damages or losses resulting from the misuse, misconfiguration, or improper handling of any hardware, software, or equipment by you. We encourage you to exercise caution and take appropriate measures to safeguard your systems and data.
- In the event that any liability is imposed upon the Company, it shall be limited to the amount paid by you for the specific service in question. This limitation of liability shall apply whether the claim arises from a breach of contract, negligence, or any other legal theory.
Confidentiality:
- The Company acknowledges that in the course of providing services to your business, it may have access to confidential and proprietary information. The Company agrees to maintain the confidentiality of such information and to use it solely for the purposes of providing the services under this Agreement.
Entire Agreement:
- These Terms and Conditions, together with any additional written agreements or statements provided by Vancouver Laptop, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior discussions, understandings, or agreements.
Governing Law and Jurisdiction:
- This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Vancouver Laptop is located. Any legal action or proceeding arising out of or relating to this Agreement shall be exclusively subject to the jurisdiction of the courts in that jurisdiction.
Severability:
- If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver:
- The failure of Vancouver Laptop to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
By registering for the Business Membership Plan, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
